Terms of Service

1. Acceptance

By creating an account or using Auttiv, you agree to these Terms and our Privacy Policy. If you accept these Terms on behalf of a company or dealership, you confirm you have authority to bind that entity.

2. The service

Auttiv provides a cloud-based CRM, marketplace, and AI tools for car sellers and dealerships. Features available depend on your subscription tier (see pricing).

3. Account responsibilities

• You must be at least 18 years old
• You must provide accurate information
• You're responsible for activity under your account — keep your password safe
• One account per person; sharing logins is prohibited
• You must comply with all applicable laws in your jurisdiction (TCPA, A2P, GDPR, LGPD, etc.)

4. Acceptable use

You must NOT use Auttiv to:

• Send unsolicited SMS / calls / emails (spam)
• Violate TCPA, CAN-SPAM, GDPR, LGPD, DNC registries, or equivalent laws
• Impersonate other people or dealerships
• Post fraudulent vehicle listings or misleading prices
• Scrape competitor data using Auttiv infrastructure
• Attempt to access other users' data
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code, models, prompts, or logic of any part of the Service
• Scrape, crawl, harvest, mirror, cache, or use bots or automated means to access, collect, or copy Auttiv, its listings, its data, its APIs, its interface, or the responses of its AI assistant, except via a documented interface with our prior written permission
• Copy, reproduce, imitate, adapt, translate, or use Auttiv — or any of its features, workflows, AI behavior, prompts, scripts, or interface — to build, train, market, or operate a competing or substantially similar product or service
• Register for, access, or use the Service (or induce anyone to) in order to benchmark it, gather competitive intelligence, or study, replicate, or reproduce its functioning on behalf of a competitor
• Circumvent, disable, or interfere with any security, authentication, access control, rate limit, or bot-protection measure
• Resell access to Auttiv without a written reseller agreement

Violation may result in immediate account suspension, forfeiture of prepaid fees, and legal action (including for breach of contract, copyright infringement, and misappropriation of trade secrets).

5. Subscription, billing, refunds

• Subscriptions auto-renew until you cancel
• Cancel anytime in Settings → no penalty
• Pro / Pro+ monthly: cancel before next billing date, no charge
• Annual plans: 30-day money-back guarantee from initial purchase
• Dealer plans: annual contracts, monthly billing, 60-day notice to cancel
• Setup fees are non-refundable once implementation has begun
• Price changes: 60 days notice; existing customers locked at current price for current term

5A. Buyer membership, private offers & trade-ins

Buyer membership. "Buyers" are paid members (individuals at a monthly membership, or dealerships through their plan) who access vehicles that the public submits. The membership fee covers access to Auttiv's tools only. Auttiv does not charge for, process, finance, escrow, or take a commission on any vehicle purchase or sale.

Selling your car (private offers). When you (a member of the public) post your vehicle to privately receive offers from verified buyers, you agree that:

• This is NOT a public auction: there is no auctioneer, no public outcry, and the seller is never obligated to accept the highest or any offer — the seller simply receives private offers and may choose any one, or none.
• Your vehicle details and photos are shown anonymously to paying buyers in your area — your name and contact are not shown to buyers while your listing is open.
• You will see each buyer's name, dealership or business, location, photo and offer amount so you can choose who to deal with — buyers are not anonymous to you.
• When you accept an offer, your contact information is shared with that one buyer so you can arrange the sale. You control if and when you accept.
• The sale itself happens in person and off-platform, directly between you and the buyer.

Trade-ins. If you submit your vehicle as a trade-in to the buyer pool, you agree that your vehicle details and your contact information are shared with buyers as a lead so they can contact you with an offer.

Buyers' consent. By making an offer or participating as a buyer, you agree that your name, dealership/business, location and profile photo are shown to the vehicle owner you are making an offer to.

Auttiv is an advertising and connection platform — not a party to the transaction. Auttiv is an online marketplace and classified-advertising venue, like other online vehicle marketplaces: it provides the platform, listings, and tools that let buyers and sellers advertise, discover, and connect with each other. Auttiv does not negotiate, solicit, arrange, facilitate, or broker any purchase or sale, does not represent or act as the agent of any buyer or seller, and is not a dealer, broker, auto broker, finder, escrow agent, lender, or party to any vehicle transaction. The membership fee is solely for access to Auttiv's advertising venue and tools — it is not a fee to find, arrange, or broker any vehicle purchase, and Auttiv does not charge for, process, finance, escrow, or take a commission on any vehicle. Auttiv makes no warranty about any vehicle, price, party, or offer, and is not responsible for the conduct of buyers or sellers or for the outcome of any deal. Each party is responsible for verifying the other, the vehicle, title, and for complying with applicable law. Offers shown are non-binding until the parties agree in person and off-platform.

5B. Trade-in estimates & submissions

AI estimate — not an offer. Any value or range shown by Auttiv's AI trade-in tool is an automated, non-binding estimate based on the photos and data you provide. It is NOT an offer, appraisal, guarantee, or promise of any price. Auttiv does not buy vehicles. The actual amount, if any, is set solely by the dealer or buyer after an in-person inspection and may be higher or lower.

Photo & content license. When you upload photos of your vehicle, you grant Auttiv and the receiving dealer and buyers a non-exclusive, worldwide, royalty-free license to store, process (including with automated/AI tools), and display them solely to evaluate your vehicle, generate an estimate, and contact you about a potential trade-in or purchase. This license ends when you delete the submission, except for copies already shared with a dealer or buyer or retained as required by law.

Ownership & accuracy. By submitting a vehicle as a trade-in, you represent that you own it or are authorized to offer it, that your information and photos are accurate, and that you will disclose any liens, salvage/branded title, or material damage. Auttiv does not verify ownership; you are solely responsible for the accuracy and legality of your submission.

Third-party data. Estimates and vehicle details may rely on third-party data (e.g., VIN decoders, NHTSA, Carfax) provided "as is," which may be incomplete or inaccurate and is not verified or warranted by Auttiv. Such data is subject to its providers' own terms.

5C. Informational tools (Deal Score, payment estimator, vehicle value)

Auttiv's Deal Score, monthly-payment calculator, and "what's my car worth" / vehicle-value estimates are automated, informational tools provided for general guidance only. They are NOT financial advice, a credit offer or pre-qualification, a guarantee of financing, an appraisal, or a promise of any price, rate, or term. Any monthly payment shown is an illustration only: it excludes taxes, title, registration, dealer fees, down payment, and your actual APR, and assumes figures that may not apply to you. Your real financing terms depend on the lender and your credit and are determined off-platform. Deal Scores and vehicle values are estimates derived from third-party data provided "as is" and may be inaccurate or out of date. Always verify every number directly with the dealer or lender before relying on it.

6. Data ownership

Your data is yours. Specifically:

• Leads you input → owned by you (or your dealership if on Dealer plan)
• Messages, notes, appointments → owned by you
• Inventory listings → owned by the dealership
• You can export all your data anytime (Settings → Export)
• On account deletion, we delete your data within 30 days (except where retention required by law)

Our platform is ours. The Auttiv platform and everything that makes it work — its software and source code, its features, workflows, and design, its AI models, prompts, scripts, and sales logic, its algorithms, its brand, and its aggregated/anonymized analytics — are the exclusive property of Auttiv Group LLC and are protected as copyrighted works and confidential trade secrets. We grant you only a limited, non-exclusive, non-transferable, revocable license to use the Service for your own dealership/sales operations while your account is in good standing. You receive no ownership, source code, or right to copy, reproduce, or reuse the Service or its functioning. All rights not expressly granted are reserved. Nothing in these Terms transfers any intellectual-property right in the Service to you. This section survives termination.

7. AI and automated content

Auttiv includes AI features that generate text, suggestions, and (Pro+) voice. By using these features:

• You're responsible for reviewing AI output before sending to customers
• AI suggestions are guidance, not professional advice
• Voice cloning requires explicit consent + a disclosure that the caller is speaking with an AI assistant
• We do not warrant accuracy of AI output for any purpose

8. SMS and communications compliance

If you use SMS / voice features:

• You must obtain prior express written consent before contacting any consumer (TCPA / equivalent)
• You must honor STOP / opt-out requests immediately
• You must scrub against the National DNC Registry where applicable
• You must include opt-out language and identify yourself in every campaign
• We provide compliance tooling but you remain the responsible party

9. Service availability

We target 99.9% uptime. We may schedule maintenance with 48 hours notice when possible. We're not liable for downtime caused by force majeure or third-party services (AWS, Stripe, Twilio, Anthropic outages).

10. Warranty disclaimer

Auttiv is provided "AS IS" without warranties of any kind, express or implied. We do not warrant the service will be uninterrupted, error-free, or meet your specific requirements.

11. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

12. Indemnification

You will defend and indemnify us against any third-party claim arising from your use of Auttiv, your content, or your violation of these Terms.

13. Termination

Either party may terminate this agreement:

• For convenience: at the end of the current term, with notice as specified in Section 5
• For cause: immediately upon material breach not cured within 30 days of written notice
• By us: immediately for violation of Section 4 (acceptable use) or non-payment

14. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Disputes will be resolved by binding arbitration in Travis County, Texas, except for small claims and injunctive relief. EU consumers retain rights under mandatory local law.

15. Changes

We may update these Terms. Material changes require 30 days notice (email + in-app banner). Continued use after the effective date means acceptance.
